Terms of Service

These Terms and Conditions (the “Agreement”) operate between CoinStack and you, the business using the digital services and solutions as provided by CoinStack. By agreeing to use any of the services made available by CoinStack or any related services, you agree that you have read, understood, and unconditionally accepted all of the Terms and Conditions contained in this Agreement and our Privacy Policy.
Interpretation
"Agreement" means an agreement to perform Services, which CoinStack will undertake for you. The Agreement will come into force when you accept these Terms and Conditions upon making an account on the Website.

"CoinStack" means CoinStack, LLC, a limited liability company registered in accordance with the laws of the State of Wyoming, USA, located at 1309 Coffeen Avenue, STE 4494, Sheridan, Wyoming 82801 (also referred to as we, our or us).

"Confidential Information" means, in relation to either party, information which is disclosed to that party by the other party pursuant to or in connection with this Agreement (whether orally or in writing or any other medium, and whether or not the information is expressly stated to be confidential or marked as such).

"Cryptocurrency" means any digital asset which we support within our Services.

"Intellectual Property Rights" means (a) any and all rights in any patents, trademarks, service marks, registered designs, applications (and rights to apply for any of those rights), trade, business and company names, internet domain names and e-mail addresses, unregistered trademarks and service marks, copyrights, database rights, know-how, rights in designs and inventions; (b) rights under licenses, consents, orders, statutes or otherwise in relation to a right in paragraph (a); (c) rights of the same or similar effect or nature as or to those in paragraphs (a) and (b) which now or in the future may subsist; and (d) the right to sue for past infringements of any of the foregoing rights.

"Services" means all services rendered by CoinStack, including, but not limited to the provision of custodial digital wallet(s) for the facilitation of sending and receiving digital assets such as Cryptocurrency

"Website" means the CoinStack website, located at coinstack.net.
General Terms and Conditions
These Terms and Conditions form a legally binding Agreement between you and CoinStack and govern the use of our Services. Only these Terms and Conditions are applicable to the creation of, content of and compliance with any Agreement between you and CoinStack.

Entering into an Agreement with CoinStack requires your unconditional acceptance of the applicability of these Terms and Conditions. The Agreement will come into force upon CoinStack’s acceptance of your registration.

By registering your details on our Website, or by using any Services provided by CoinStack, you agree to be bound by these Terms and Conditions. If you do not accept all the Terms and Conditions, you must not use or access the Services.

You may not enter into an Agreement with CoinStack, nor accept these Terms and Conditions, if you do not have the required corporate authority or mental capacity to form a binding legal contract.

By using the CoinStack Services, you agree and warrant that you are sufficiently aware of the risks associated with cryptographic systems and their usage, and you have an understanding of public/private key cryptography, blockchain-based software systems, and digital assets and cryptocurrency.

CoinStack reserves the right to limit your activity on the Website, or terminate your registration without notice for any reason, but in any case, following a breach of these Terms and Conditions.

Access to the Services will require the submission of certain personally identifiable information. Please review our Privacy Policy for a detailed description of our practices relating to the collection, use, and storage of personally identifiable information.

Any general terms and conditions used by you that contradict these Terms and Conditions are rejected and are therefore not applicable to the Agreement between CoinStack and you.
The Services and Use of the Interface
If you have successfully registered for an account on our Website, we will provide you with our Services, which allow you to create and manage one or more custodial crypto wallets. CoinStack will facilitate the sending and receiving of Cryptocurrency and other digital assets as we may support from time to time, on the blockchain, by using certain APIs (collectively referred to as the “Interface”).

CoinStack will store, on your behalf, the private key(s) for use within your account. You will not have access to the private key(s).

CoinStack merely provides the Interface to facilitate its Services, but nothing in these Terms and Conditions suggests that CoinStack is a buyer or seller in any trade of Cryptocurrency. CoinStack does not provide exchange services. You are solely responsible for the use of our Services and the transactions with your Cryptocurrency as safeguarded by us.

It is your sole responsibility to make the correct cryptographic address known to others in order to receive payments and to send your Cryptocurrency to a correct cryptographic address. CoinStack is not responsible for the loss of any currency as a result of the incorrect use of cryptographic addresses or other transactional errors. Due to the nature of our Services, it is not possible for an unauthorized or incorrect transaction to be reversed.

CoinStack does not provide investment, tax, or legal advice. You are solely responsible for evaluating the merits and risks associated with the use of our Services before making any investment, trade, or other decision.

At no point shall CoinStack be responsible, in any way whatsoever, to extend to you any credit, funds or (digital) assets for your benefit, in order for you to meet your own obligations.

CoinStack will provide the Services to you using reasonable skill and care, but at all times this will be subject to any downtime caused by scheduled or emergency maintenance or repair. CoinStack will use our reasonable endeavors to ensure that any disruption to the Services is minimal and any scheduled work takes place during off-peak hours when possible. CoinStack will not be liable to you or any third party for losses whatsoever caused by any such downtime, whether due to an emergency or scheduled.

The Services should not be considered a solicitation to any person in any jurisdiction where such solicitation would be illegal.

We reserve the right, at our sole discretion, to modify, discontinue, replace – either temporarily or permanently – the Services, or any supported Cryptocurrency, at any time with or without notice. You agree that CoinStack will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services, or part thereof, or any Cryptocurrency.

You should not use our Services for sending, requesting, or receiving any digital assets which is and/or are not supported by CoinStack. CoinStack shall not be responsible or liable in connection with any such attempt or action.

CoinStack will use all commercially reasonable endeavors to ensure that third parties used or affiliated through APIs are reputable. However, by accepting these Terms and Conditions, you expressly agree that CoinStack shall not be responsible in any way for the information provided by any third party, and you are solely responsible for assessing the (potential) value of a Cryptocurrency that you buy, sell, transfer or request using our Interface.

Our Services are not intended for use by anyone in a country or jurisdiction where such use would be illegal or otherwise contrary to applicable law. It is your responsibility to ensure that your use of our Services is in compliance with all laws applicable to you. It is recommended you seek legal advice for your use of the Services if in doubt.
Accounts and Registration
By registering on the CoinStack Website, you represent and warrant that you (a) are at least 18 years old or of legal age to form a binding contract under applicable law, (b) are a legal person or other organization with full legal capacity and authority to enter into these Terms and Conditions, (c) provide true, current, and complete information to CoinStack during the initial registration process and thereafter, (d) have not been previously removed or suspended from using the Services, (e) you do not currently have an existing account with CoinStack already, and (f) there is no other reason to prevent you from creating an account.

To register for an account, you must provide an email address and password, as well as accept these Terms and Conditions, and our Privacy Policy.

You agree to share personal information requested for the purposes of registration. We will collect, use, and share this information in accordance with our Privacy Policy.

Registration is subject to approval by CoinStack. CoinStack hereby reserves the right, in its sole and absolute discretion, to decline any application for registration, without having to state reasons. If your registration is approved, CoinStack will notify you. The Agreement between you and CoinStack will come into force upon CoinStack’s sending of the acceptance confirmation.

CoinStack is not responsible or liable in any way for the loss of your password. You hereby acknowledge that the use of the account is at your own risk, and you are fully responsible for the storage of confidential details. It is your responsibility to keep your login details secure and to prevent unauthorized disclosure to third parties. If you believe your login details have been disclosed or compromised, contact CoinStack immediately.

Any activity originating from your account shall be attributed to you, even if the use is the result from any unauthorized disclosure of your login details to a third party.

You agree that you will not use the Services to perform any criminal activity of any sort, including but not limited to, money laundering, illegal gambling operations, terrorist financing, or malicious hacking. In addition, you warrant not to use methods to conceal the location from which you access the Website and that you will disclose to CoinStack your accurate and true location.
Payments and Cost
Use of our Services shall be subject to a transaction fee for every deposit made into the custodial wallet(s) controlled by CoinStack (the “Transaction Fee”). The height of the Transaction Fee charged to you shall be in accordance with our current version of the Pricing Page, which is subject to change from time to time, at our sole and absolute discretion.

Transactions are processed by CoinStack in accordance with the instructions provided by your through our Interface. It is your responsibility to ensure that details related to these instructions and the transactions are accurate and error-free.

CoinStack shall not be responsible for the verification of the identity of any parties to any transaction.

If any additional costs or taxes arise out of your use of our Services, these shall be solely your responsibility. Where CoinStack pays these on your behalf, you will be liable to indemnify CoinStack for the loss incurred upon CoinStack’s request.

Through circumstances outside of CoinStack’s control, certain transactions may incur delays. By accepting these Terms and Conditions, you agree and acknowledge that CoinStack is not responsible for such delays, nor liable for any losses resulting therefrom, including foreseeable losses.
Suspension, Termination, and Cancellation
CoinStack reserves the right to (a) suspend, restrict, or terminate your access to any or all of the Services, and/or (b) deactivate or cancel your Account with immediate effect for any reason, including but not limited to where: CoinStack reasonably believes that we need to do so in order to protect our reputation; CoinStack is required to do so under applicable law, regulation, or any court of other authority to which we are subject in any jurisdiction; CoinStack suspects you are acting in breach of these Terms and Conditions; CoinStack has concerns about the security of your Account, or we suspect the Services are being used in a fraudulent or unauthorized manner, including but not limited to money laundering, terrorist financing, fraud, or another financial crime or unlawful act; Use of your Account is subject to pending litigation, investigation, or proceeding and/or CoinStack perceives a heightened risk of legal or regulatory non-compliance associated with your Account activity; and/or You take any action that may circumvent the CoinStack security controls such as opening multiple Accounts.

CoinStack furthermore has the right to, for any reason whatsoever, suspend, restrict, or terminate your access to the Services or to deactivate your account, without having to state reasons, and without incurring any penalty, upon providing you with 14 days’ notice.

CoinStack reserves the right to, with or without prior notice, suspend the Services and/or the Interface in relation to repair or maintenance work to be carried out. CoinStack is under no obligation to inform you in advance of such work being carried out, but will attempt to do so if reasonably possible.

You have the right to terminate the Agreement and thus close your account at any time, provided that (i) you give CoinStack at least 30 days written notice in advance, and (ii) you transfer out all Cryptocurrency held under our Services.

Upon termination of the Agreement by you or CoinStack in accordance with these Terms and Conditions, you will no longer have any proprietary rights in any public or private keys associated with your account, nor will we have any obligation to safeguard them.

Upon termination of the Agreement for any reason, all rights granted to you under these Terms and Conditions will cease immediately. CoinStack will provide reasonable assistance in arranging the transfer of your Cryptocurrency. No liability or responsibility is accepted by CoinStack in relation to the exercise of any rights of termination or suspension by CoinStack.
Liability
To the maximum extent permitted under applicable law, the CoinStack Services and Website are provided on an “as is” and “as available” basis.

CoinStack expressly disclaims, and you waive, any and all other warranties of any kind, whether express or implied, including implied warranties of merchantability. Without limiting the foregoing, CoinStack does not claim that the Services or the Website are accurate, complete, reliable, current, error-free, secure, or free of viruses or other harmful components.

You hereby acknowledge the risk of using our Services, for which you are solely responsible. You can lose all the funds you have deposited into your account and you should not trade or invest funds that you cannot afford to lose. You may also lose your funds due to any failure of any technological equipment, both ours or yours, as well as any connection, software, or hardware failures, malfunctions, and/or incompatibilities.

In no event will CoinStack be liable to you for any losses whatsoever, including the loss of Cryptocurrency, other than where CoinStack has lost your private key(s) and/or signature(s) or had them hacked, while these are in our custody. However, CoinStack’s liability is restricted to loss caused directly and reasonably foreseeable through our negligence.

CoinStack shall not be liable in any way whatsoever for losses you incur, or that any third party incurs, that are the result of the maintenance or transfer of fraudulent, defective, or impaired Cryptocurrency.

Our Services use third-party APIs and potentially other third-party systems. CoinStack shall never be responsible for any type of loss or damage incurred as a result of such third-party activity.

Except for the express statements set forth under these Terms and Conditions, you hereby acknowledge and agree that you have not relied upon any other statement or understanding, whether written or oral, with respect to your use and access of the Services. Without limiting the foregoing, you hereby understand and agree that CoinStack will not be liable for any losses or damages arising out of or relating to: (a) any inaccuracy, defect, or omission of price data, (b) any error or delay in the transmission of such data, (c) interruption of such data, and (d) any damages incurred through another user’s actions, omissions, or violation of these Terms and Conditions.

To the maximum extent permitted by applicable law, in no event will CoinStack or any of its shareholders, employees, agents, representatives, or contractors be liable for any direct, incidental, indirect, special, punitive, consequential, or similar damages or liabilities whatsoever. This includes, without limitation, damages for loss of data, savings, contracts, information, revenue, profits or other business or financial benefit.

If CoinStack is deemed to be liable for any losses you suffer, this liability shall not exceed the fees paid by you for the Services during the preceding 12-month period, and is strictly limited to losses that were reasonably foreseeable.

CoinStack is not your broker, agent, or advisor and has no fiduciary relationship or obligation to you with respect to your use of the Services. No communication or information provided to you is intended as investment advice, financial advice, trading advice, or any sort of advice. You should consult your legal or tax professional regarding your specific situation. CoinStack will not be held responsible for the decisions you make to invest in, sell, or hold Cryptocurrency, even when your decisions are the result of information provided by us.

You agree to indemnify and hold harmless CoinStack, its shareholders, members, affiliates, employees, agents, representatives, and contractors from and against any claims, actions, proceedings, suits, costs, investigations, expenses, and damages arising out of or related to (i) your use of or conduct in connection with the Services, (ii) your breach of or our enforcement of these Terms and Conditions, or (iii) your violation of any applicable law, regulation, or rights of any third party during your use of the Services.
Intellectual Property Rights
All content on our Website is the property of CoinStack, and is protected by applicable intellectual property law(s). You hereby agree to respect, abide by, and where possible protect, all of CoinStack’s Intellectual Property Rights. Any and all rights not expressly granted to you are reserved by CoinStack.

No content on the Website should be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether through manual or automated methods. The use of any content from the Website on any other site or a networked computer environment for any other purpose is strictly prohibited; any such unauthorized use may violate our Intellectual Property Rights.

You hereby receive a non-exclusive, non-transferable license to use the Website insofar as necessary to enjoy the Services as offered by CoinStack, provided you are not in breach of these Terms and Conditions in any way.
Miscellaneous
Force Majeure. If CoinStack cannot fulfill its obligations under the Services in time or properly, due to force majeure, it is not liable for damage suffered by you. Force majeure is in any case understood to mean any circumstance that CoinStack could not take into account at the time of the creation of your account and as a result of which the normal execution of the Services cannot reasonably be required by you, such as, for example, illness, war or danger of war, civil war and riot, sabotage, terrorism, energy disruption, flood, earthquake, fire, government measures, a public health crisis such as a pandemic or epidemic, transport difficulties, and other (technical) disruptions within CoinStack.

No Assignment. You may not assign, transfer or otherwise delegate the Agreement and/or your rights and/or obligations thereunder (in whole or in part) without the written consent of CoinStack, which shall not be unreasonably withheld. The Agreement shall be binding upon, inure to the benefit of and be enforceable by the parties and their respective successors and assigns.

Headings. Headings included in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement.

Waiver. The failure to enforce any provision of this Agreement will not constitute a waiver nor be construed as such. No waiver of any provision of this Agreement shall constitute a waiver of any other provision, nor shall any waiver of any provision of this Agreement constitute a continuing waiver unless expressly provided otherwise.

Notices. All notices under this Agreement shall be in writing and be deemed duly given if signed by, or on behalf of, a duly authorized officer of the party giving the notice. Notice shall be deemed to have been duly given when (a) sent by e-mail and a successful transmission report or return receipt is generated; or (b) when delivered by courier or registered mail during the normal business hours of the recipient.

Severability. In the event that one or more of the provisions in these Terms and Conditions are found to be void, either in whole or in part, the remaining provisions will remain in force. CoinStack will formulate new provisions to replace the voided provisions, during which the scope of the original provisions has to be considered carefully.

Modification. CoinStack is permitted to amend these Terms and Conditions unilaterally. The amended Terms and Conditions are immediately applicable to any Agreements entered into after the amendments have been implemented, and 30 days after written announcement of the amendment to you for previously existent Agreements. If you continue to use the Services after this 30-day period, you will be deemed to have accepted the amended Terms and Conditions.

Entire Agreement. Except as supplemented by additional terms and conditions, policies, guidelines, or standards, these Terms and Conditions contain the entire legal understanding between CoinStack and you, and supersedes any and all prior or written understanding or agreements in relation to your use of the Services.

Reliance. Both you and CoinStack acknowledge that, in entering into any Agreement, they do not rely on any representation, warranty, assurance, or other provision, except as expressly provided in these Terms and Conditions.

Relationship. CoinStack is an independent contractor and not an agent of you in the performance of these Terms and Conditions. These Terms and Conditions should not be interpreted as evidence of an association, joint venture or partnership.
Law and Jurisdiction
These Terms and Conditions and the Agreement between CoinStack and you (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of the State of Wyoming, USA.

Any dispute, controversy, proceedings, or claim between the parties relating to this Agreement (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the jurisdiction of the courts of the State of Wyoming, USA.
